Brighton based AI Digital Ltd (www.ai-digital.com ) announced that it has agreed to merge its e-learning division known as Academy Internet with REDTRAY Ltd for an undisclosed cash and equity consideration.

AI Digital believes that the future e-learning marketplace will benefit global providers of blended learning solutions and during late 2008 took a strategic decision to merge its custom e-learning content development division called Academy Internet with REDTRAY whose strategy positions it as one of the UK based leaders in training provision for global organizations. AI Digital will now focus on developing its highly successful Search Engine Marketing business known as SiteVisibility (www.sitevisibility.co.uk )

REDTRAY is excited to open up in Brighton, which is one of the leading centres of e-learning excellence and the Academy Internet team will continue to operate from their existing base in the City. All existing Academy Internet customers have shown their support for the merger and have agreed to novate their contracts to REDTRAY with immediate effect.

All Intellectual property rights to Academy Internet's "Originate" XML based e-learning authoring tool are included in the transaction.

Bob Woodland, REDTRAY Chairman said, "I am delighted to have agreed the merger of the AI Digital e-learning business with Redtray. The company and the individuals bring exceptional skills and experience to Redtray and we look forward to working with the team who have achieved a great deal of success over the last few years"

Jason Woodford, Chief Executive of AI Digital said, "I was impressed by REDTRAY's strategy and their management style. We selected REDTRAY from a number of potential offers on the basis of their commitment to our customers, to our staff and their vision for the future of e-learning."

Commenting on the outlook for Search Engine Marketing in 2009, Jason said, "2009 has started well for SiteVisibility with orders, revenue and profitability significantly up on 2008.
